1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern the access to and use of the AI-powered legal skill-building platform, courses, tools, and related services (collectively, the "LawQi Services") provided by LawQi Learning Inc. ("LawQi," "we," "us," or "our"), a federally incorporated Canadian company with its principal place of business at 1345 Caserta Place, Ottawa, Ontario, K4A 3C1.

By accessing or using the LawQi Services, you ("you" or "User") acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable Master Services Agreement and Statement of Work between LawQi and your organization (collectively, the "Agreement"). If you do not agree to these Terms, you must not access or use the LawQi Services.

These Terms apply to all Authorized Users who access the LawQi Services through a Client organization. Certain terms and conditions specific to the Client's engagement with LawQi, including pricing, term, and credit allocation, are governed by the applicable Master Services Agreement and Statement of Work between LawQi and the Client.


2. Definitions

"Authorized User" means any member, employee, team member, student, faculty, administration, instructional developer or designer, customer, end user, or company to whom a Client has provided access to the LawQi Services as permitted under the applicable Master Services Agreement and Statement of Work.

"Client" means any bar association, legal organization, law firm, legal department, corporate organization, or other entity that has entered into a Master Services Agreement with LawQi.

"Core LawQi Services" means the LawQi AI Skill Building Course and associated learning experiences, delivered through an AI-powered interactive learning environment, including the AI digital twin platform and all related content, tools, and features.

"Credits" means units of measurement capturing the combined usage of third-party language model tokens and AI platform tools that power the AI digital twin and its capabilities.

"Digital Twin" means the AI-powered personal assistant embedded within the LawQi Platform that provides personalized support, interactive experiences, and AI-powered agentic activities for Authorized Users.

"Intellectual Property Rights" means all current and future worldwide patents and patent rights, utility models, copyrights, mask work rights, trademarks, service marks, trade secrets, and other intellectual property and proprietary rights and the related documentation or other tangible expressions thereof.

"Platform" means the LawQi AI-powered learning experience platform, including the AI digital twin, associated tools, cloud vault, and all content and services delivered through the platform.

"Praxis AI" means Praxis AI, LLC, a California Limited Liability Company with its principal place of business at 6701 Koll Center Parkway, Suite 250-2656, Pleasanton, CA 94566, which develops and owns the technology platform through which LawQi delivers its services.

"Praxis Services" means products and services used by LawQi to deliver the LawQi Services, which are developed and owned by Praxis AI or its licensed partners, including but not limited to the AI-powered Digital Twin Platform, Praxis AI Learning Experience Platform (LXP), LiveLabs, Cloud Labs, courses, assessment services, and associated content and documentation.


3. Description of the LawQi Services


3.1 Core Services

LawQi provides Authorized Users with personalized access to the LawQi AI Skill Building Course, a structured, self-directed learning experience delivered through an AI-powered interactive learning environment. The Core LawQi Services enable Authorized Users to develop practical AI competence applicable across leading AI platforms and tools within a legal market context. The scope and details of the Core LawQi Services may be amended and updated by LawQi from time to time in its sole discretion.


3.2 AI Digital Twin

The LawQi Services incorporate an AI-powered digital twin platform that provides individual Authorized Users with personalized support, interactive experiences, and AI-powered agentic activities. The digital twin operates on leading AI technologies and has multiple tool connections and a personal AWS-resident cloud vault to enable secure storage of user-supplied content incorporated into AI review.


3.3 Educational Purpose Only

The LawQi Services, though built on leading AI technologies and enabling experiences that may exceed elements available through direct user subscription to major commercial AI tools, are intended solely for educational and skill-building use. The LawQi Services are not intended as a legal practice tool or substitute for any commercial or other AI service. Users should not rely on AI-generated outputs for legal advice, client work, or professional decision-making.


4. Visibility of User Interactions

IMPORTANT: As a learning platform, all user inputs, digital twin outputs, and all Authorized User interactions are visible to LawQi, Praxis AI, and their authorized partners, subcontractors, and employees. This visibility is necessary for the delivery, monitoring, improvement, and quality assurance of the educational experience.

Authorized Users are informed of this visibility upon sign-up and reminded repeatedly throughout the learning experience through both static and AI-generated notices. Given the Platform's purpose and the visibility of interactions:

  • You must not input client-confidential information in any engagement with the Platform's AI tools.
  • You must not input information subject to solicitor-client privilege or any other professional duty of confidentiality.
  • You must not upload documents containing sensitive personal information of third parties, clients, or other individuals unless such information has been fully anonymized.

Failure to comply with these restrictions may constitute a breach of your professional obligations. LawQi is not responsible for any consequences arising from a User's decision to input confidential, privileged, or sensitive information into the Platform.


5. User Accounts and Access


5.1 Account Registration

Access to the LawQi Services requires registration through a Client organization. Each Authorized User must create an individual account and may be required to authenticate through the Client's designated single sign-on method or other authentication mechanism, as specified in the applicable Statement of Work.


5.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify LawQi immediately of any unauthorized use of your account or any other breach of security. LawQi will not be liable for any loss or damage arising from your failure to protect your account credentials.


5.3 Non-Transferability

Your access to the LawQi Services is personal and non-transferable. You may not share, lend, or otherwise make your account or access credentials available to any other individual.


6. Acceptable Use


6.1 Permitted Use

The LawQi Services are provided solely for the educational and professional development purposes described in these Terms. You agree to use the LawQi Services only for their intended purpose and in accordance with all applicable laws and regulations.


6.2 Prohibited Conduct

You agree that you will not:

  • Use the LawQi Services for any purpose other than personal education and skill-building as contemplated by the LawQi AI Skill Building Course.
  • Input, upload, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Input, upload, or transmit any client-confidential information, privileged communications, or sensitive personal information of third parties.
  • Attempt to gain unauthorized access to any part of the LawQi Services, other user accounts, or any systems or networks connected to the Platform.
  • Use the LawQi Services to develop, train, or improve any competing product or service, or for the purpose of competitive analysis.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Platform or any component thereof.
  • Copy, modify, distribute, sell, sublicense, or create derivative works based on the LawQi Services or any content provided through the Platform.
  • Circumvent, disable, or otherwise interfere with any security, access control, or usage-limiting features of the Platform.
  • Use the LawQi Services in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the LawQi Services.
  • Introduce any viruses, trojans, worms, malware, or other harmful code into the Platform.
  • Use the LawQi Services to generate content that infringes, misappropriates, or otherwise violates any third-party Intellectual Property Rights.
  • Misrepresent your identity or organizational affiliation when registering for or using the LawQi Services.


7. Credit System


7.1 Credit Allocation

The LawQi Services operate on a credit-based system. Each Client is assigned a credit allocation under the applicable Statement of Work. Credits measure the combined usage of third-party language model tokens and AI platform tools powering the digital twin.


7.2 Credit Consumption

A typical single interaction with the digital twin may consume 1–2 credits, whereas long and complex interactions involving multiple documents and tools (such as web search, image generation, document retrieval, code generation, or MCP server engagement) may consume 10 or more credits.


7.3 User Credit Caps

Clients may establish tiered usage caps for individual Authorized Users, including notice thresholds and cut-off thresholds. If a User Credit Cap is in place:

  • LawQi will alert the Client when an Authorized User reaches the notice threshold.
  • LawQi will sever an Authorized User's access if the cut-off threshold is exceeded.


7.4 Additional Credits

If a Client's credit allocation is exhausted, additional credits may be purchased at the prevailing Praxis AI Digital Twin Credit rate, less a 20% reduction, as published at https://docs.praxis-ai.com/mdx/introduction/plans-and-credits#digital-twin-credits.


8. Intellectual Property


8.1 LawQi and Praxis AI Intellectual Property

All Intellectual Property Rights in and to the LawQi Services, the Platform, the LawQi AI Skill Building Course content, the Praxis Services, and all related materials, software, documentation, and technology are and shall remain the exclusive property of LawQi, Praxis AI, and their respective licensors. Nothing in these Terms grants you any right, title, or interest in any such Intellectual Property Rights, except for the limited right to access and use the LawQi Services as an Authorized User during the term of your Client's agreement.


8.2 Client Intellectual Property

LawQi does not acquire any Intellectual Property Rights in any content or materials owned by the Client or its Authorized Users, except for the limited rights necessary to deliver the LawQi Services.


8.3 User-Generated Content

By submitting content through the LawQi Services, including inputs, prompts, and uploaded documents, you grant LawQi and Praxis AI a limited, non-exclusive license to use, process, store, and display such content solely for the purpose of delivering, improving, and maintaining the LawQi Services. You represent and warrant that you have all rights necessary to grant this license and that your content does not infringe the rights of any third party.


8.4 Feedback

If you provide LawQi with suggestions, ideas, or other feedback regarding the LawQi Services, LawQi shall be free to use, incorporate, and otherwise exploit such feedback without obligation or compensation to you.


9. Disclaimers


9.1 No Legal Advice

The LawQi Services are educational tools and do not constitute legal advice, legal practice, or a substitute for the professional judgment of a qualified legal professional. AI-generated outputs may contain errors, inaccuracies, or hallucinations. You should independently verify all AI-generated information before relying on it for any purpose.


9.2 No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LAWQI SERVICES AND ALL CONTENT, MATERIALS, AND TOOLS PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LAWQI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, LAWQI DOES NOT WARRANT THAT:

  • THE LAWQI SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • THE LAWQI SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE USE OF THE LAWQI SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE.
  • ANY ERRORS IN THE LAWQI SERVICES WILL BE CORRECTED.
  • THE AI DIGITAL TWIN OR ANY AI-GENERATED OUTPUT WILL BE FREE OF ERRORS, HALLUCINATIONS, OR INACCURACIES.


9.3 Third-Party Services and Technology

The LawQi Services rely on third-party technologies, including AI language models (currently Claude Sonnet 4.6 or better) and the Praxis AI platform. LawQi is not responsible for any failures, errors, or limitations of such third-party technologies. Third-party services are provided "as is" and any warranty claims are strictly between you and the applicable third-party provider.


10. Limitation of Liability


10.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAWQI, PRAXIS AI, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SUBCONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE LAWQI SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF LAWQI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LAWQI AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE LAWQI SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOUR CLIENT TO LAWQI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


10.3 Essential Purpose

THE LIMITATIONS SET FORTH IN THIS SECTION 10 SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.


11. Indemnification


11.1 Your Indemnification Obligations

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless LawQi, Praxis AI, and their respective officers, directors, employees, agents, affiliates, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms or any applicable agreement.
  • Your unauthorized use of the LawQi Services.
  • Your violation of any applicable law or regulation.
  • Any content you submit through the LawQi Services that infringes the Intellectual Property Rights or other rights of any third party.
  • Your input of client-confidential, privileged, or sensitive personal information into the Platform in violation of Section 4.


12. Term and Termination


12.1 Term

Your right to access and use the LawQi Services continues for the duration of the term specified in the applicable Statement of Work between LawQi and your Client. Your access is subject to your Client's agreement remaining in effect and in good standing.


12.2 Termination by LawQi

LawQi may suspend or terminate your access to the LawQi Services, in whole or in part, immediately and without prior notice if:

  • You breach any material provision of these Terms.
  • Your Client's Master Services Agreement or applicable Statement of Work is terminated or expires.
  • LawQi reasonably believes that your use of the Platform poses a security risk or may cause harm to other users, the Platform, or third parties.
  • LawQi is required to do so by law or governmental order.


12.3 Effect of Termination

Upon termination of your access:

  • All rights and licenses granted to you under these Terms will immediately cease.
  • You must immediately stop using the LawQi Services and any materials obtained through the Platform.
  • LawQi will not communicate with you following termination, except where you have explicitly granted LawQi permission to send marketing communications.
  • LawQi may retain your data as described in our Privacy Policy and in accordance with applicable law.


13. Communications

LawQi may communicate directly with Authorized Users from time to time in connection with the LawQi Services. Such communications may include welcome emails, service update and availability notifications, support communications, and invitations to attend LawQi webinars or receive marketing communications. LawQi will not share your contact information with third parties for their own marketing purposes.


14. Privacy

Your use of the LawQi Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your Personal Information. By using the LawQi Services, you consent to the collection and use of your information as described in our Privacy Policy.

The LawQi Services are also subject to the Praxis AI Terms of Use available at https://praxis-ai.com/terms-of-use/ and the Praxis AI Privacy Policy available at https://praxis-ai.com/privacy-policy/. In the event of any conflict between these Terms and the Praxis AI Terms of Use or Privacy Policy, these Terms shall prevail and govern.


15. Confidentiality

The terms and conditions of these Terms, the Master Services Agreement, and any applicable Statement of Work are considered confidential. Both parties agree to protect each other's confidential information and not disclose it to third parties, except as required by law or as permitted under the applicable agreement.


16. Force Majeure

LawQi shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, epidemics or pandemics, strikes, labor disputes, government regulations, internet or telecommunications failures, power outages, or other force majeure events.


17. Governing Law and Dispute Resolution


17.1 Governing Law

These Terms shall be construed and governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.


17.2 Jurisdiction

Any action or proceeding arising out of or related to these Terms shall be instituted exclusively in the courts of the Province of Ontario, and you irrevocably submit to the exclusive jurisdiction of such courts.


17.3 Legal Fees

In any action to enforce any right or remedy under these Terms or to interpret any provision of these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees, costs, and other expenses.


18. General Provisions


18.1 Entire Agreement

These Terms, together with the Privacy Policy, the applicable Master Services Agreement, Statement of Work, and any documents incorporated by reference, constitute the entire agreement between you and LawQi with respect to the LawQi Services and supersede all prior or contemporaneous agreements, understandings, and communications relating to the subject matter hereof.


18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.


18.3 Waiver

The failure of LawQi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.


18.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of LawQi. LawQi may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.


18.5 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties hereto and do not confer any rights or benefits on any third party.


18.6 Independent Contractors

The relationship between LawQi and its Clients is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship.


18.7 Notices

All notices under these Terms shall be in writing and shall be deemed received when delivered personally, sent by confirmed email, or three (3) business days after being sent by certified mail, return receipt requested.


18.8 Amendment

LawQi reserves the right to modify these Terms at any time. Changes will be effective upon posting of the updated Terms on our website. Where changes are material, we will use commercially reasonable efforts to provide advance notice to Clients. Your continued use of the LawQi Services after such changes constitutes your acceptance of the updated Terms.

This Privacy Policy describes how we collect, use, disclose, store, and protect Personal Information in connection with our AI-powered legal skill-building platform and related services (collectively, the "LawQi Services"). It applies to all interactions with LawQi, including through our website at https://lawqi.com, the LawQi learning platform, and any communications between LawQi and its users.

"Platform" means the LawQi AI-powered learning experience platform, including the AI digital twin, associated tools, and all content and services delivered through the platform.

"Praxis AI" means Praxis AI, LLC, a California Limited Liability Company with its principal place of business at 6701 Koll Center Parkway, Suite 250-2656, Pleasanton, CA 94566, which provides the technology platform through which LawQi delivers its services.


3. Information We Collect

3.1 Information Provided by Clients

When a Client enters into a Master Services Agreement with LawQi, we collect organizational and contact information, including the Client's business name, address, billing information, and the names and contact details of designated Client representatives.


3.2 Information Provided by Authorized Users

When Authorized Users register for and use the LawQi Services, we may collect:

  • Account Information: Name, email address, organizational affiliation, role or title, and login credentials.
  • Profile Information: Learner background information, professional experience, and learning preferences provided through onboarding surveys and assessments.
  • User-Generated Content: All inputs, prompts, queries, uploaded documents, and other content that Authorized Users submit through the Platform, including interactions with the AI digital twin.
  • Assessment Data: Quiz responses, course progress, completion records, and performance metrics.
  • Communication Data: Any information provided through support requests, feedback, or direct communications with LawQi.


3.3 Information Collected Automatically

When Authorized Users access and use the LawQi Services, we and our technology partners automatically collect certain information, including:

  • Usage Data: Pages visited, features used, session duration, frequency of access, interaction patterns, and engagement metrics.
  • Device and Technical Data: IP address, browser type and version, operating system, device type, screen resolution, and language preferences.
  • Log Data: Access times, error logs, referral URLs, and system activity.
  • Credit Consumption Data: Records of digital twin credit usage, including the volume and nature of AI interactions.


3.4 Information from Third Parties

We may receive information about Authorized Users from Clients, including employee rosters, membership lists, and authentication data where single sign-on is enabled.


4. Visibility of User Interactions

IMPORTANT NOTICE: The LawQi Platform is designed solely for educational and skill-building purposes. As a learning platform, all user inputs, AI digital twin outputs, and all Authorized User interactions are visible to LawQi, Praxis AI, and their authorized partners, subcontractors, and employees. This visibility is essential to the delivery, improvement, and quality assurance of the educational experience.

Authorized Users are informed of this visibility upon sign-up and reminded throughout the learning experience via both static and AI-generated notices. Given the educational purpose of the Platform and the visibility of interactions, Authorized Users must not input client-confidential information, privileged communications, or any information subject to solicitor-client privilege in any engagement with the Platform's AI tools.


5. How We Use Personal Information

We use Personal Information for the following purposes:


5.1 Service Delivery and Administration

  • Provisioning, maintaining, and operating the LawQi Services, including the AI digital twin and associated learning tools.
  • Managing Authorized User accounts, authentication, and access credentials.
  • Processing and fulfilling orders under applicable Statements of Work.
  • Monitoring credit allocation and usage to ensure fair access and availability.


5.2 Educational Experience and Improvement

  • Personalizing the learning experience for individual Authorized Users.
  • Tracking course participation, engagement, and progress.
  • Generating participation and engagement reports at a summary level for Clients.
  • Improving and enhancing the quality, functionality, and content of the LawQi Services.
  • Developing new courses, features, and educational offerings.


5.3 Communications

  • Sending welcome emails, service update and availability notifications, and support communications.
  • Responding to support inquiries and troubleshooting technical issues.
  • Providing invitations to attend LawQi webinars or receive marketing communications, where permitted.


5.4 Legal and Compliance

  • Complying with applicable laws, regulations, and legal processes.
  • Enforcing our Master Services Agreement, Terms and Conditions, and other contractual obligations.
  • Protecting the rights, property, and safety of LawQi, our Clients, Authorized Users, and others.


5.5 Analytics and Reporting

  • Conducting aggregate and anonymized analytics to understand usage patterns and improve our services.
  • Preparing summary-level participation reporting for Clients as described in applicable Statements of Work.


6. How We Share Personal Information


6.1 With Praxis AI

LawQi delivers its services in collaboration with and through the technology of Praxis AI. Praxis AI participates directly in the stewardship of Personal Information associated with the LawQi Services. Personal Information may be shared with Praxis AI to the extent necessary to operate, maintain, and improve the Platform. Praxis AI's handling of Personal Information is also governed by the Praxis AI Privacy Policy, available at https://praxis-ai.com/privacy-policy/.


6.2 With Clients

We provide Clients with periodic summary-level reporting on Authorized User participation and engagement. We do not share the specific content of individual Authorized User interactions with Clients unless required by law or with the express consent of the Authorized User.


6.3 With Service Providers and Subcontractors

We may share Personal Information with trusted third-party service providers and subcontractors who assist us in delivering the LawQi Services, including cloud hosting providers, payment processors, analytics providers, and support services. All such parties are bound by contractual obligations to protect the confidentiality and security of Personal Information and to use it only for the purposes for which it was disclosed.


6.4 As Required by Law

We may disclose Personal Information where required by applicable law, regulation, court order, subpoena, or governmental request, or where we believe in good faith that disclosure is necessary to protect our rights, the safety of any person, or to investigate fraud or respond to a government request.


6.5 In Connection with a Business Transaction

In the event of a merger, acquisition, reorganization, sale of assets, or similar transaction involving LawQi, Personal Information may be transferred to the acquiring or successor entity, subject to the commitments made in this Privacy Policy.


6.6 No Sale of Personal Information

LawQi does not sell, rent, or trade Authorized User Personal Information to third parties for their own marketing purposes. LawQi will not share Authorized User contact information with third parties except as described in this Privacy Policy.


7. Data Storage and Retention


7.1 Storage Location

Personal Information collected in connection with the LawQi Services may be stored and processed in Canada and the United States, depending on the location of the infrastructure used by LawQi and Praxis AI. By using the LawQi Services, you consent to the transfer of your Personal Information to jurisdictions outside your province or country of residence, which may have different data protection laws.


7.2 Cloud Vault

The LawQi Platform includes a personal AWS-resident cloud vault for each Authorized User to enable secure storage of user-supplied content incorporated into AI review. Content stored in the cloud vault is subject to this Privacy Policy and the visibility provisions described in Section 4.


7.3 Retention Period

We retain Personal Information for as long as necessary to fulfill the purposes for which it was collected, including to satisfy any legal, regulatory, accounting, or reporting requirements. Upon termination or expiration of a Client's Master Services Agreement and any applicable Statement of Work:

  • LawQi will cease communicating with Authorized Users, except where an Authorized User has explicitly granted LawQi permission to send marketing communications.
  • Personal Information will be retained only as long as necessary to comply with legal obligations or resolve disputes, after which it will be securely deleted or anonymized.


8. Data Security

LawQi employs commercially reasonable administrative, technical, and physical safeguards designed to protect Personal Information against unauthorized access, use, alteration, disclosure, or destruction. These measures include:

  • Encryption of data in transit and at rest.
  • Access controls limiting Personal Information access to authorized personnel.
  • Regular security assessments and monitoring.
  • Incident response procedures for addressing potential data breaches.

While we strive to protect Personal Information, no method of electronic transmission or storage is completely secure. We cannot guarantee the absolute security of your information.


8.1 Data Breach Notification

In the event of a security breach involving Personal Information, LawQi will promptly investigate and, where required by applicable law, notify affected Clients and individuals in accordance with our breach notification procedures and all applicable privacy legislation.


9. Your Rights and Choices

Subject to applicable law, you may have the following rights with respect to your Personal Information:

  • Access: You may request access to the Personal Information we hold about you.
  • Correction: You may request correction of inaccurate or incomplete Personal Information.
  • Deletion: You may request deletion of your Personal Information, subject to our legal obligations to retain certain data.
  • Withdrawal of Consent: Where processing is based on consent, you may withdraw your consent at any time. Withdrawal of consent does not affect the lawfulness of processing carried out prior to withdrawal.
  • Objection: You may object to certain processing of your Personal Information.
  • Data Portability: Where technically feasible, you may request a copy of your Personal Information in a structured, commonly used, and machine-readable format.

To exercise any of these rights, please contact us using the information provided in Section 14. Requests will be processed in accordance with applicable privacy legislation. We may require verification of your identity before fulfilling a request.


10. Marketing Communications

LawQi may send Authorized Users invitations to attend webinars or receive marketing communications. You may opt out of marketing communications at any time by following the unsubscribe instructions included in each communication or by contacting us directly. Opting out of marketing communications will not affect service-related communications necessary for the delivery of the LawQi Services.


11. Third-Party Links and Services

The LawQi Services may contain links to third-party websites, platforms, or services that are not operated or controlled by LawQi. This Privacy Policy does not apply to such third-party services. We encourage you to review the privacy policies of any third-party services you access through the LawQi Platform.


12. Children's Privacy

The LawQi Services are not directed to individuals under the age of 18. We do not knowingly collect Personal Information from children. If we become aware that we have collected Personal Information from a child without appropriate consent, we will take steps to delete such information promptly.


13. Changes to This Privacy Policy

LawQi reserves the right to modify this Privacy Policy at any time. Changes will be effective upon posting of the updated Privacy Policy on our website, with the "Last Updated" date revised accordingly. We encourage you to review this Privacy Policy periodically. Where changes are material, we will use commercially reasonable efforts to notify Clients in advance.


14. Applicable Law

This Privacy Policy is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any equivalent provincial privacy legislation.
